1. About these Terms
These Terms and Conditions (“Terms”) govern your use of thinkShuo’s website, applications, learning content, AI tutors, voice features, and subscriptions (the “Services”).
The Services are provided by Rasbora Labs Pte Ltd, a company registered in Singapore (“thinkShuo”, “we”, “us”, or “our”).
By accepting these Terms when creating an account or purchasing a subscription, you agree to be bound by them. If you do not agree, you must not create an account or use the Services.
Our Privacy Policy explains how we handle personal data. Acceptance of these Terms does not replace any separate consent required for optional data uses.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms.
You must provide accurate account information and keep your sign-in credentials secure. You must not share an individual account or use another person’s account without authorisation.
You may sign in using Google. Your use of Google is also subject to Google’s terms. Contact support@thinkshuo.com promptly if you suspect unauthorised access to your thinkShuo account.
3. Permitted use
Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to use the Services for personal learning and authorised professional or workplace learning.
You must not:
- Use the Services unlawfully, fraudulently, or to harass or harm others.
- Submit content that infringes intellectual property, privacy, or confidentiality rights.
- Record or submit another person’s voice or personal information without appropriate authority.
- Attempt to bypass security, usage limits, or access controls.
- Introduce malware or interfere with the operation of the Services.
- Scrape, bulk extract, resell, or redistribute the Services or learning materials without permission.
- Reverse engineer the Services except where applicable law permits it.
- Use shared credentials to avoid purchasing required subscriptions.
4. AI tutors and learning limitations
thinkShuo uses AI to generate conversations, explanations, translations, pronunciation feedback, and other learning materials.
AI-generated content may be inaccurate, incomplete, or inappropriate. Verify outputs before relying on them in business communications, negotiations, contracts, or other situations where an error could have significant consequences.
The Services provide educational assistance and do not provide legal, financial, medical, or other regulated professional advice.
We do not guarantee a particular proficiency level, examination result, employment outcome, or business result. Learning scores and progress reports should not be treated as independently validated employment assessments.
5. Your content
You retain any ownership rights you hold in the messages, recordings, documents, and other content you submit (“User Content”).
You grant us a non-exclusive permission to store, process, transcribe, reproduce, and display User Content as necessary to provide your learning features, maintain security, respond to support requests, and fulfil legal obligations. This permission extends to providers assisting us with those purposes.
It does not authorise publication of your private recordings or conversations, or their use to train AI models.
You are responsible for ensuring you have the necessary rights and permissions to submit User Content. Avoid entering employer, customer, or client confidential information unless authorised.
Processing and retention of personal data remain subject to our Privacy Policy.
6. Our intellectual property and AI outputs
The thinkShuo name, branding, software, lesson materials, designs, and other service content belong to us or our licensors.
You may use learning outputs for your own learning and ordinary professional communications, subject to these Terms and any applicable third-party rights. AI outputs may resemble outputs provided to others and may not qualify for intellectual property protection.
These Terms do not grant you ownership of our software, branding, or lesson library.
7. Subscriptions, renewals, and trials
Some features require a paid subscription. Before purchase, we display the price, currency, billing interval, applicable taxes, included features, usage limits, and whether the plan renews automatically.
Where you purchase an automatically renewing subscription, you authorise recurring charges at the disclosed billing interval until cancellation.
If a trial converts into a paid subscription, its duration, conversion price, billing date, and cancellation instructions are disclosed before you enrol.
We provide advance notice of subscription price changes where required by law or applicable platform rules. Changes take effect at the renewal date stated in the notice.
8. Cancellation and refunds
Website subscriptions are processed through Stripe. You can cancel your subscription through our billing portal. If you need help accessing the portal, contact support@thinkshuo.com.
Cancellation stops future renewals. Your paid access continues until the end of the current paid billing period.
Deleting your account, uninstalling the app, or disconnecting Google does not necessarily cancel recurring billing.
We review refund requests for website purchases case by case. To request a refund, email support@thinkshuo.com with your account email, relevant payment reference, and the reason for your request. Do not send full payment card details. A refund is not automatic simply because you cancel. Nothing in these Terms limits refund or consumer rights that cannot lawfully be excluded.
For billing help, contact support@thinkshuo.com.
9. Third-party services
The Services integrate with third-party providers, including authentication, AI, speech, payment, and hosting providers. Some features may be affected by third-party availability.
Your direct use of external services may be subject to their separate terms. This does not remove our responsibility for our own obligations to you.
10. Service changes, suspension, and termination
We may update features, introduce improvements, or perform maintenance. We provide reasonable notice of material reductions to paid Services where practicable and honour applicable contractual and consumer rights.
We may restrict or suspend access where reasonably necessary to investigate a material breach, prevent harm, address security risks, or comply with law. Where appropriate, we explain the reason and give you an opportunity to resolve the issue.
You may stop using the Services and request account deletion by contacting support@thinkshuo.com.
If we discontinue paid Services or terminate access for reasons unrelated to your breach, we refund the unused portion of prepaid fees, subject to mandatory law.
11. Warranties and liability
We exercise reasonable care in providing the Services, but do not guarantee uninterrupted operation or error-free AI content.
To the extent permitted by law, we exclude implied warranties not expressly stated in these Terms and liability for indirect or consequential loss, including lost profits or business opportunities.
Subject to applicable law, our total liability arising from the Services is limited to the greater of:
- The amount paid for your access to the Services in the 12 months preceding the event giving rise to the claim; or
- SGD [amount pending legal review].
These limitations do not apply to fraud, death or personal injury caused by negligence, or liability that cannot lawfully be excluded or limited.
12. Changes to these Terms
We may update these Terms to reflect changes to the Services or legal requirements. We provide reasonable advance notice of material changes and state when they take effect.
Where required, we ask you to accept the updated Terms. If you disagree, you may stop using the Services and cancel renewal, without losing rights already accrued.
13. Governing law and disputes
These Terms are governed by Singapore law.
Please contact support@thinkshuo.com first so we can attempt to resolve a dispute. If it remains unresolved, the Singapore courts have non-exclusive jurisdiction.
Nothing in this section removes mandatory consumer protections or rights to bring proceedings in another jurisdiction where applicable law provides them.
14. General provisions
If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a provision does not waive it.
These Terms and any applicable purchase terms constitute the agreement concerning your use of the Services.
